These Terms and Conditions (“Terms”) form a legally binding agreement between you and Stayadoodle Technologies Inc. regarding your access to and use of the Stayadoodle website, mobile applications, member platform, communications, features, and related services.

Please read these Terms carefully.

By creating an account, selecting a checkbox or button indicating acceptance, purchasing or renewing a Membership, confirming a Booking, or otherwise using the Platform, you acknowledge that you have read, understood, and agreed to these Terms.

You should not access or use Stayadoodle if you do not agree to these Terms.

1. Definitions

In these Terms:

“Account” means a registered Stayadoodle user account.

“Booking” means a dog-care arrangement requested, accepted, confirmed, managed, or recorded through the Platform.

“Care Arrangement” means hosting, sitting, daycare, overnight care, drop-in care, or another dog-care arrangement facilitated through the Platform.

“Care Credits” means Stayadoodle’s non-monetary internal units used to record eligible dog care provided and received through the Platform.

“Caregiver” or “Host” means a Member who offers or agrees to care for another Member’s dog.

“Community Guidelines” means the rules, standards, and safety expectations published by Stayadoodle and updated from time to time.

“Dog Owner” or “Owner” means a Member who owns, controls, or is legally authorized to arrange care for a dog.

“Member” means an individual who creates an Account, purchases a Membership, or uses member features.

“Membership” means paid, trial, complimentary, promotional, or other authorized access to Stayadoodle’s member features.

“Platform” means the Stayadoodle website, mobile applications, software, member platform, content, communications, and related services.

“Stayadoodle,” “we,” “us,” or “our” means Stayadoodle Technologies Inc.

“User Content” means profiles, photographs, messages, reviews, ratings, dog information, care instructions, reports, and other material submitted through the Platform.

2. Scope of These Terms

These Terms apply to:

  • The Stayadoodle website

  • Stayadoodle’s iOS and Android applications

  • Account registration and authentication

  • Member and dog profiles

  • Memberships and subscriptions

  • Care Credits

  • Search, matching, and availability features

  • Messaging

  • Booking requests and confirmed Bookings

  • Referrals and promotions

  • Verification and background-screening processes

  • Reviews and ratings

  • Customer support

  • Future features governed by these Terms

Certain features may be subject to additional terms shown before you use or purchase them. Those additional terms form part of your agreement with Stayadoodle.

3. Nature of the Platform

Stayadoodle is a technology platform that enables dog owners and dog lovers to find one another, communicate, arrange dog care, and exchange Care Credits.

Stayadoodle is a connector only.

Stayadoodle is not:

  • A dog-sitting, boarding, daycare, kennel, veterinary, transportation, or animal-care provider

  • The employer, contractor, partner, representative, or agent of any Member

  • A party to a Care Arrangement between Members

  • An insurer, insurance broker, guarantor, arbitrator, or emergency service

  • Responsible for directing, supervising, controlling, or inspecting dog care performed by Members

Members independently decide whether to:

  • Contact or meet another Member

  • Enter another person’s home

  • Allow another person into their home

  • Place a dog in another Member’s care

  • Accept responsibility for another Member’s dog

  • Confirm, modify, or cancel a Booking

Stayadoodle does not guarantee the identity, honesty, character, competence, suitability, availability, home environment, conduct, or performance of a Member.

4. Eligibility

To create an Account or use member features, you must:

  1. Be at least 18 years old and have reached the age of majority where you live.

  2. Have the legal capacity to enter into a binding agreement.

  3. Reside in a region supported by Stayadoodle.

  4. Be capable of safely participating in dog-care activities.

  5. Provide complete, accurate, and current information.

  6. Not be prohibited from using the Platform under applicable law.

  7. Not have previously been removed for serious safety, fraud, abuse, or misconduct concerns unless Stayadoodle authorizes your return in writing.

The Platform is not intended for minors. A parent or guardian may not create an Account for a minor to independently provide or receive dog care.

We may refuse, restrict, suspend, or revoke access where reasonably necessary to protect Members, dogs, Stayadoodle, third parties, or the integrity of the Platform.

5. Account Registration

Each Account is personal to the registered Member.

You must not:

  • Sell, transfer, rent, or share your Account

  • Permit another person to impersonate you

  • Create duplicate Accounts without authorization

  • Create an Account using false or stolen information

  • Use another Member’s Account

You agree to:

  • Provide truthful registration and profile information

  • Keep your information current

  • Protect your login credentials

  • Use reasonable safeguards for your device and Account

  • Notify Stayadoodle promptly of suspected unauthorized activity

  • Accept responsibility for activity conducted through your Account, except where caused by Stayadoodle’s failure to use reasonable safeguards

Stayadoodle may require identity, address, email, telephone, or other verification before enabling certain features.

6. Electronic Acceptance and Records

Selecting an “I Agree,” “Accept,” “Continue,” or similar checkbox or button constitutes your electronic acceptance of these Terms.

Electronic acceptance has the same effect as signing a written agreement, subject to applicable law.

Stayadoodle may provide these Terms and other contractual information electronically through:

  • Email

  • The Platform

  • An Account dashboard

  • A downloadable document

  • A permanent website link

  • An in-app legal section

Stayadoodle may record:

  • Your Account identifier

  • Date and time of acceptance

  • Version of the Terms accepted

  • Acceptance method

  • Device or platform used

  • Relevant technical records

You are responsible for keeping your contact information current and retaining copies of documents relevant to your Membership and Bookings.

7. Privacy Policy

Stayadoodle’s collection, use, retention, safeguarding, and disclosure of personal information are governed by the Stayadoodle Privacy Policy.

The Privacy Policy is incorporated into these Terms by reference.

By using the Platform, you acknowledge that you have had an opportunity to review the Privacy Policy.

Where applicable law requires separate consent for a particular collection, use, disclosure, device permission, verification process, or marketing activity, Stayadoodle will request that consent separately.

8. Membership

Access to certain Platform features requires an active Membership.

Membership prices, billing frequency, included features, promotional terms, trial conditions, and renewal terms will be disclosed before purchase.

A Membership provides access to eligible Platform features. It does not purchase or guarantee:

  • The availability of Caregivers

  • A successful match

  • Acceptance of a Booking request

  • Availability in a particular neighbourhood

  • A particular number of Care Arrangements

  • A particular level or outcome of care

  • Insurance coverage

  • Continuous access to every Platform feature

Stayadoodle may offer different plans, promotions, trials, founding-member arrangements, discounts, or complimentary access.

Eligibility restrictions may apply.

9. Subscription Billing and Automatic Renewal

Where you select a recurring Membership, the subscription will automatically renew at the billing frequency and price disclosed at checkout unless it is cancelled before the applicable renewal date.

Before purchase, Stayadoodle or the applicable app store will disclose the material terms of the subscription, including:

  • Price

  • Billing frequency

  • Applicable taxes

  • Automatic-renewal terms

  • Trial or promotional conditions

  • Cancellation method

  • Material limitations

You authorize Stayadoodle or the applicable payment provider to charge your authorized payment method for Membership fees and applicable taxes.

You may cancel future renewal using the method identified:

  • In the Platform

  • In the applicable app store

  • In your payment-provider account

  • By contacting Stayadoodle where direct cancellation is available

Unless applicable law requires otherwise, cancellation prevents future renewal but does not automatically terminate access for the remainder of a prepaid Membership period.

10. App-Store Subscriptions

Memberships purchased through Apple or Google are billed and managed by the applicable app store.

When an app store manages your subscription:

  • Its billing and cancellation procedures apply

  • Stayadoodle may be unable to cancel the subscription on your behalf

  • Deleting the Stayadoodle application does not cancel the subscription

  • Closing your Stayadoodle Account may not cancel app-store billing

  • You must cancel through the applicable app-store subscription settings

Refunds for app-store purchases may be administered by the applicable app store under its rules and applicable law.

11. Payments and Payment Providers

Payments may be processed by:

  • Stripe

  • Apple

  • Google

  • Another authorized payment provider

Stayadoodle generally does not receive or store your complete payment-card number or security code.

You agree to:

  • Provide accurate billing information

  • Maintain a valid payment method

  • Pay authorized charges and applicable taxes

  • Avoid initiating a fraudulent or abusive chargeback

A failed, expired, reversed, or disputed payment may result in suspension of paid features.

You should contact Stayadoodle before initiating a chargeback so that we have an opportunity to investigate. This does not remove any legal right to challenge an unauthorized or improper charge.

12. Refunds and Consumer Rights

Except where a refund is expressly offered, required by law, or administered by an app store or payment provider, Membership fees are non-refundable once the applicable service period begins.

Nothing in these Terms limits:

  • A statutory cancellation right

  • A required refund

  • A consumer warranty

  • A remedy

  • Any other right that cannot legally be excluded or waived

Where provincial or federal consumer-protection law applies, mandatory legal protections take priority over an inconsistent provision of these Terms.

13. Care Credits

13.1 Nature of Care Credits

Care Credits are non-monetary internal units used to record eligible care provided and received through Stayadoodle.

Care Credits:

  • Are not Canadian currency

  • Are not cryptocurrency

  • Are not electronic money or stored value

  • Are not wages or compensation paid by Stayadoodle

  • Have no cash value

  • Cannot be redeemed for cash

  • Cannot be privately sold, purchased, traded, assigned, inherited, or transferred

  • May be used only for eligible activities within Stayadoodle

  • Do not represent funds held on your behalf

  • Do not guarantee the availability of dog care

Members must not request or accept cash payment for Care Credit-based care arranged through Stayadoodle, except for legitimate expense reimbursements or an optional gift feature expressly supported by the Platform.

13.2 Calculating Care Credits

Stayadoodle’s standard system may treat one Care Credit as representing up to four hours of care, with a maximum of two Care Credits for a 24-hour care period.

Different calculations may apply to:

  • Partial periods

  • Specific types of care

  • Promotions

  • Special arrangements

  • Future features

The Platform will display the applicable Care Credit amount before a Booking is confirmed.

The confirmed Booking record governs unless Stayadoodle corrects an obvious technical, calculation, fraud, or data-entry error.

13.3 Who Spends and Earns Care Credits

The Platform will identify before confirmation:

  • Which Member’s Care Credits will be reserved or deducted

  • Which Member will earn the Care Credits

  • The amount involved

  • When the transfer is expected to occur

Members are responsible for reviewing this information before confirming a Booking.

Care Credits may be:

  • Reserved when a Booking is confirmed

  • Transferred after care is recorded as completed

  • Reversed or restored following a valid cancellation

  • Adjusted to correct an error or misuse

13.4 Starter, Referral, and Promotional Credits

Stayadoodle may offer:

  • Starter Care Credits

  • Referral Care Credits

  • Promotional Care Credits

  • Goodwill or corrective Care Credits

Current promotional amounts and eligibility conditions will be disclosed with the applicable offer.

Referral or promotional Care Credits may be withheld, reversed, or removed where:

  • Accounts are duplicate or fictitious

  • A Member refers themselves

  • Members coordinate artificial referrals or Bookings

  • A qualifying payment is refunded, reversed, or disputed

  • A required Booking is cancelled or determined to be artificial

  • Program requirements were not met

  • Fraud or abuse is suspected

13.5 Inactive Memberships and Expiry

Properly earned Care Credits will not expire solely because time has passed where such expiry is prohibited by applicable law.

If your Membership lapses:

  • Your Account may become inactive

  • Your Care Credits may be placed on hold

  • You may be unable to earn or use Care Credits

  • Access may be restored when Membership is reactivated

13.6 Adjustments and Closure

Stayadoodle may correct, reserve, reverse, suspend, or remove Care Credits where reasonably necessary because of:

  • Fraud or misuse

  • Duplicate transactions

  • Technical or calculation errors

  • Cancelled or invalid Bookings

  • Refunds or payment reversals connected to an award

  • Account duplication

  • A violation of these Terms

  • A legal or regulatory requirement

If an Account is permanently closed or lawfully terminated, remaining Care Credits may be cancelled to the extent permitted by law.

Care Credits cannot be redeemed for cash when an Account or Membership ends.

14. Booking Formation

A Booking may begin when:

  • An Owner requests care from a Host

  • A Member requests to care for a listed dog

  • Members otherwise initiate an eligible request through the Platform

A Booking is not confirmed until:

  1. The required Member accepts the request.

  2. Dates, times, location, care type, and Care Credit amount are displayed or agreed.

  3. Required Care Credits are available and reserved.

  4. The Platform records the Booking as confirmed.

A profile view, message, expression of interest, or informal discussion does not by itself create a confirmed Booking.

Members must review all Booking details before confirmation.

15. Booking Status

The Platform may use statuses such as:

  • Requested

  • Pending

  • Confirmed

  • Checked in

  • Checked out

  • Completed

  • Cancelled

  • Disputed

Some statuses may update automatically based on scheduled dates and times.

An automated status does not prove that care occurred exactly as displayed. Members must report inaccurate statuses or material Booking issues promptly.

Stayadoodle may correct Booking records where reasonably necessary.

16. Owner Responsibilities

An Owner must:

  • Have legal authority to arrange care for the dog

  • Provide complete and accurate information

  • Disclose all relevant health and behavioural concerns

  • Keep dog information current

  • Provide clear written care instructions

  • Provide sufficient food, medication, equipment, and supplies

  • Provide emergency-contact and veterinary information

  • Disclose allergies, medication needs, contagious conditions, fears, escape tendencies, reactivity, resource guarding, aggression, and bite history

  • Explain compatibility with children, adults, dogs, cats, or other animals

  • Ensure compliance with applicable licensing, vaccination, and public-health requirements

  • Be reasonably available during the Booking or appoint an emergency contact

  • Arrange timely drop-off and pickup

  • Pay expenses for which the Owner is legally or contractually responsible

  • Avoid placing a dog in an arrangement that creates an unreasonable risk

An Owner must not omit material information merely because the Owner believes the issue is unlikely to occur.

The Owner remains responsible for the Owner’s representations, instructions, decisions, and legal obligations relating to the dog.

17. Host Responsibilities

A Host must:

  • Accurately describe their experience and care environment

  • Accept only dogs and Bookings they can safely manage

  • Provide a reasonably safe, secure, sanitary, and dog-appropriate environment

  • Follow agreed care, feeding, medication, supervision, and exercise instructions

  • Use reasonable care to prevent escape, injury, poisoning, unsafe interaction, or exposure to dangerous conditions

  • Comply with animal-welfare, municipal, property, condominium, tenancy, and licensing requirements

  • Inform the Owner promptly of illness, injury, escape, behavioural concerns, property damage, or another significant incident

  • Keep keys, access codes, addresses, and personal information secure

  • Not leave the dog with an unauthorized person without the Owner’s permission, except where reasonably necessary in an emergency

  • Not materially change the agreed care environment without appropriate disclosure

  • Return the dog and Owner property as agreed

  • Use emergency authority reasonably and for the dog’s welfare

A Host must not accept a Booking while impaired, incapable of providing reasonable supervision, or otherwise unable to care for the dog safely.

18. Meet-and-Greets and Independent Assessment

Members are strongly encouraged to arrange a safe meet-and-greet before a first Booking.

Members should independently assess:

  • Compatibility

  • The dog’s comfort and behaviour

  • The Host’s experience

  • The home environment

  • Resident animals and household members

  • Fencing, entrances, exits, and hazards

  • Care instructions

  • Emergency procedures

  • Transportation arrangements

A profile, review, verification badge, background check, prior Booking, or recommendation is not a substitute for personal judgment.

You are responsible for deciding whether to proceed.

19. Addresses and Location Information

Stayadoodle may collect a Member’s full address for matching, verification, fraud prevention, safety, and Booking purposes.

A full residential address is not publicly displayed.

Depending on the Platform feature, other Members or non-members may see:

  • City

  • General neighbourhood

  • Approximate distance

  • Generalized or blurred map location

An exact care, pickup, drop-off, or hosting address may be disclosed to the relevant Member after a Booking is confirmed or when reasonably necessary to complete the Booking.

Members must not:

  • Publish another Member’s address

  • Use an address for an unrelated purpose

  • Retain or share access information unnecessarily

  • Visit another Member’s home outside an authorized arrangement

  • Use location information to harass, monitor, or intimidate another person

20. Telephone Numbers and Email Addresses

Stayadoodle provides in-app messaging.

A Member’s email address or telephone number is not automatically disclosed to another Member merely because:

  • Profiles are viewed

  • Messages are exchanged

  • A Booking is requested

  • A Booking is confirmed

Members may voluntarily exchange contact information at their own discretion.

Stayadoodle may disclose contact information where reasonably necessary during an emergency, where authorized by the Member, or where required by law.

21. Homes, Keys, Codes, and Property Access

Members may voluntarily give another Member access to:

  • A home

  • Building

  • Key

  • Alarm

  • Entry code

  • Parking area

  • Personal property

Stayadoodle does not control, inspect, store, or guarantee the security of such access.

Members agree to:

  • Use access only for the confirmed Booking

  • Keep access information confidential

  • Not copy, retain, share, or misuse keys or codes

  • Follow applicable property rules

  • Return access materials promptly

  • Report lost keys or compromised codes immediately

Members are responsible for securing valuables, medication, documents, financial information, dangerous items, and other sensitive property.

22. Health, Behaviour, and Animal Safety

Dogs may behave unpredictably, particularly in unfamiliar surroundings or around unfamiliar people or animals.

Risks include:

  • Bites and scratches

  • Falls or physical injury

  • Escape or disappearance

  • Illness or allergic reaction

  • Choking or poisoning

  • Medication errors

  • Conflict between animals

  • Stress or behavioural changes

  • Parasites or contagious illness

  • Property damage

  • Serious injury or death

Stayadoodle does not inspect or guarantee:

  • A dog’s health

  • Temperament

  • Training

  • Vaccination status

  • Behaviour

  • Suitability for a particular home

Each Member must use reasonable judgment and take precautions appropriate to the circumstances.

23. Veterinary and Emergency Care

The Owner authorizes the confirmed Host to seek reasonable veterinary or emergency assistance where the Host reasonably believes:

  • Immediate action is necessary to protect the dog

  • Delay could materially worsen the condition

  • The Owner and emergency contact cannot be reached after reasonable attempts

Where practical, the Host should attempt to contact:

  1. The Owner

  2. The emergency contact

  3. The designated veterinarian

The Owner is generally responsible for veterinary and emergency expenses relating to the Owner’s dog, subject to applicable law or another Member’s proven wrongful conduct.

The Host should retain relevant receipts and records.

Stayadoodle does not make veterinary decisions and is not responsible for a veterinarian’s availability, advice, treatment, fees, diagnosis, or outcome.

24. Cancellations and No-Shows

Members must cancel or modify Bookings through the Platform where that functionality is available and communicate promptly with the other Member.

Care Credit consequences or cancellation conditions displayed before cancellation form part of the Booking.

Stayadoodle may restore, reserve, transfer, reverse, or adjust Care Credits after considering:

  • Which Member cancelled

  • Timing

  • Reason

  • Whether care had begun

  • Whether a material loss occurred

  • Whether an emergency was documented

  • Repeated cancellation behaviour

  • Platform error or abuse

Repeated late cancellations, no-shows, dog abandonment, or refusal to return a dog may result in Account restrictions or termination.

Nothing prevents reasonable action necessary to protect a person or animal in an emergency.

25. Insurance and Financial Responsibility

Unless Stayadoodle expressly states otherwise in writing for a specific program, Stayadoodle does not provide:

  • Pet insurance

  • Veterinary insurance

  • Homeowner’s insurance

  • Tenant insurance

  • Commercial insurance

  • Property insurance

  • General liability insurance

  • Coverage for Care Arrangements

Members are responsible for determining whether their insurance covers:

  • Caring for another person’s dog

  • Placing their dog in another person’s care

  • Dog-related injury

  • Property damage

  • Animal transportation

  • Home-based animal care

  • Relevant exclusions

Members must not assume that an existing policy provides coverage.

Each Member remains responsible for losses and obligations allocated to that Member by agreement or applicable law.

26. Identity Verification and Background Screening

Stayadoodle may use manual review or third-party providers to verify:

  • Identity

  • Address

  • Email

  • Telephone number

  • Profile information

  • Eligibility

  • Other safety information

Stayadoodle may offer or require legally permitted background screening, subject to appropriate consent.

A verification badge or screening status means only that a particular process was completed using information available at that time.

Verification and screening:

  • Do not guarantee identity, character, competence, safety, or future conduct

  • May contain errors, gaps, or incomplete records

  • May not cover every jurisdiction

  • Are not continuous monitoring unless expressly stated

  • Do not replace independent judgment

Stayadoodle may restrict access based on material discrepancies, safety concerns, failure to complete required verification, or legally permissible screening results.

27. Community Standards and Good-Faith Participation

Members must participate honestly, respectfully, and in good faith.

Members agree to:

  • Communicate clearly and promptly

  • Respect dogs, homes, neighbours, and personal boundaries

  • Honour confirmed commitments where reasonably possible

  • Provide accurate profiles and Booking information

  • Use Care Credits only as intended

  • Leave fair and truthful reviews

  • Support an inclusive and welcoming community

  • Report credible safety concerns

  • Follow the Community Guidelines

Stayadoodle may act where conduct materially undermines safety, trust, or community integrity, even if the conduct is not expressly listed elsewhere.

28. Prohibited Conduct

You must not:

  • Provide false or misleading identity, dog, payment, profile, or Booking information

  • Conceal a material health, aggression, bite, escape, or safety issue

  • Harm, neglect, abandon, or endanger an animal

  • Harass, threaten, intimidate, stalk, exploit, or discriminate

  • Use the Platform for fraud or illegal activity

  • Create fake Bookings, reviews, referrals, transactions, or Accounts

  • Manipulate ratings

  • Retaliate against a reviewer

  • Sell or trade Care Credits

  • Request unauthorized cash payment for Care Credit-based care

  • Circumvent Membership, payment, Care Credit, safety, or Platform controls

  • Scrape or commercially exploit Member information

  • Send spam, malware, or harmful code

  • Access another Member’s Account

  • Interfere with or reverse engineer the Platform except where expressly permitted by law

  • Use Member information for unrelated employment, housing, lending, insurance, dating, surveillance, or commercial purposes

  • Record inside a private home without legally required consent

  • Use the Platform to breed, sell, transfer, or acquire animals

  • Operate a commercial kennel or high-volume care service without written authorization

  • Use the Platform while impaired or for unsafe conduct

29. Messages and Platform Communications

Stayadoodle may store and process in-app messages to provide:

  • Messaging

  • Support

  • Safety review

  • Fraud prevention

  • Moderation

  • Dispute investigation

  • Enforcement

  • Legal compliance

Authorized personnel or providers may access relevant messages where reasonably necessary for those purposes.

Members should keep important Booking agreements and safety information within the Platform where practical.

Members must not use messaging for harassment, spam, unrelated solicitation, or unlawful content.

30. Reviews and Ratings

Reviews and ratings must:

  • Relate to a genuine experience

  • Be truthful and made in good faith

  • Focus on relevant conduct and care

  • Avoid threats, harassment, discrimination, private information, or knowingly false accusations

  • Disclose a material incentive where required

Stayadoodle may investigate, reject, restrict, edit for privacy, or remove content that appears:

  • Fraudulent

  • Irrelevant

  • Abusive

  • Unlawful

  • Unsafe

  • Retaliatory

  • Inconsistent with these Terms

Stayadoodle does not guarantee the accuracy of reviews and does not adopt a review as its own statement.

Members must not condition the return of property, cooperation, or Care Credits on receiving a positive review.

31. User Content

You retain ownership of User Content you submit.

You represent that:

  • You own the content or have permission to use it

  • It does not violate privacy, copyright, trademark, confidentiality, publicity, or other rights

  • It is accurate where it describes you, your household, your dog, or a Booking

  • It does not contain unlawful or malicious material

You grant Stayadoodle a non-exclusive, worldwide, royalty-free, transferable, and sublicensable licence to host, store, reproduce, format, adapt, display, and distribute User Content as reasonably necessary to:

  • Operate and improve the Platform

  • Display profiles and Booking information

  • Provide messaging and support

  • Perform safety and moderation functions

  • Enforce these Terms

  • Maintain backups

Stayadoodle will not use identifiable private profile content in external advertising without permission unless it was deliberately submitted for promotional use or such use is otherwise permitted by law.

32. Intellectual Property

The Platform and its original software, databases, design, branding, trademarks, logos, text, graphics, documentation, and functionality are owned by or licensed to Stayadoodle Technologies Inc.

Stayadoodle grants you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable licence to use the Platform for lawful personal participation in the Stayadoodle community.

You may not copy, sell, license, distribute, modify, publicly display, create derivative works from, or commercially exploit Stayadoodle intellectual property without written permission, except where applicable law expressly permits.

33. Third-Party Services

The Platform may integrate with:

  • Stripe

  • Apple

  • Google

  • Identity-verification providers

  • Background-screening providers

  • Mapping providers

  • Analytics tools

  • Cloud hosts

  • Communication providers

  • Other third-party services

Third parties operate under their own terms and privacy practices.

Stayadoodle does not control and is not responsible for an independent third party’s availability, security, content, or conduct, except to the extent responsibility cannot legally be excluded.

34. Apple App Store

Where the application is obtained through Apple’s App Store:

  1. These Terms are between you and Stayadoodle, not Apple.

  2. Stayadoodle, not Apple, is responsible for the application and its content.

  3. Your licence is limited to using the application on Apple-branded products you own or control, subject to Apple’s usage rules.

  4. Apple has no obligation to provide maintenance or support.

  5. Stayadoodle is responsible for addressing claims concerning the application, subject to these Terms and applicable law.

  6. Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it upon your acceptance.

35. Google Play

Where the application is obtained through Google Play:

  • Your use is also subject to applicable Google Play terms

  • Google is not responsible for Member Care Arrangements

  • Subscription billing and refunds may be managed through Google

  • You must comply with applicable Google Play usage requirements

36. Platform Availability and Changes

Stayadoodle may add, modify, test, suspend, replace, or discontinue features.

The Platform may experience:

  • Maintenance

  • Technical errors

  • Delays

  • Data-synchronization issues

  • Security restrictions

  • Third-party outages

  • Temporary unavailability

  • Feature changes

Stayadoodle will use reasonable efforts to operate the Platform but does not guarantee uninterrupted or error-free availability.

Stayadoodle may correct errors affecting:

  • Bookings

  • Care Credits

  • Payments

  • Profiles

  • Availability

  • Messages

  • Account records

Where reasonably possible, affected Members will be notified of a material correction.

37. Marketing and Service Communications

Stayadoodle may send necessary communications concerning:

  • Account activity

  • Verification

  • Messages

  • Bookings

  • Care Credits

  • Payments

  • Subscriptions

  • Safety

  • Security

  • Customer support

  • Policy changes

Promotional emails, texts, or other commercial electronic messages will be sent with consent where required and will include an unsubscribe mechanism.

Unsubscribing from marketing does not prevent necessary transactional, safety, security, billing, or legal communications.

38. Account Deletion

You may request Account deletion:

Deleting the application from your device does not delete your Account.

Closing your Account may not automatically cancel a subscription billed through Apple, Google, or another payment provider.

Upon Account deletion:

  • Access to member features will end

  • Remaining Care Credits may be cancelled

  • Eligible personal information will be deleted or anonymized

  • Certain records may be retained as explained in the Privacy Policy

Stayadoodle may retain information where reasonably necessary for:

  • Financial and tax obligations

  • Fraud prevention

  • Safety records

  • Incident investigations

  • Dispute resolution

  • Legal claims

  • Security

  • Compliance with law

39. Suspension and Termination

Stayadoodle may warn, restrict, suspend, investigate, or terminate an Account where we reasonably believe:

  • These Terms or Community Guidelines were violated

  • A person or animal may be at risk

  • Information is false or unverifiable

  • Fraud, payment abuse, referral abuse, or Care Credit manipulation occurred

  • A Member repeatedly cancels or fails to meet commitments

  • A Member misuses another person’s home, property, information, or Account

  • Continuing access may harm Members, dogs, Stayadoodle, or third parties

  • Action is required by law, an app store, or a payment provider

Immediate action may be taken for safety, security, legal compliance, or fraud prevention.

Where appropriate and legally permitted, Stayadoodle may provide notice or an opportunity to respond.

Closing or terminating an Account does not eliminate obligations or liabilities arising before closure.

40. Member Disputes

Members should attempt to resolve disagreements directly and in good faith where safe and appropriate.

Stayadoodle may choose to:

  • Collect information

  • Preserve Platform records

  • Adjust Care Credits

  • Restrict an Account

  • Facilitate informal communication

  • Refer safety concerns to an authority

Stayadoodle is not required to:

  • Mediate

  • Determine legal liability

  • Investigate every allegation

  • Enforce private agreements

  • Collect money

  • Compensate a Member

Any assistance provided does not make Stayadoodle a party to the dispute.

41. Assumption of Risk

You acknowledge that:

  • Dogs may behave unpredictably

  • Dog care involves inherent risk

  • Interacting with unfamiliar people involves risk

  • Entering or providing access to private homes involves risk

  • Information provided by Members may be inaccurate or incomplete

To the fullest extent permitted by law, you voluntarily assume risks arising from your decision to:

  • Contact or meet a Member

  • Enter or provide access to property

  • Place a dog with a Host

  • Care for another Member’s dog

  • Transport a dog

  • Permit interaction between animals or people

  • Rely on Member information

  • Participate in a Care Arrangement

This provision does not exclude liability that cannot legally be excluded and does not excuse a Member from responsibility for their own conduct.

42. Disclaimers

To the fullest extent permitted by law, the Platform is provided on an “as is” and “as available” basis.

Stayadoodle does not warrant that:

  • The Platform will always be available, secure, accurate, or error-free

  • A Member, dog, home, or Booking is safe or suitable

  • A Member will honour a Booking

  • User Content is accurate

  • Verification will identify every risk

  • A Care Arrangement will meet expectations

  • A dispute will be resolved

  • Care Credits will always have the same structure

  • Use of the Platform will result in savings or a particular outcome

Implied warranties are disclaimed to the extent they may lawfully be disclaimed.

Nothing excludes a warranty, condition, representation, or consumer protection that cannot legally be excluded.

43. Limitation of Stayadoodle’s Liability

To the fullest extent permitted by law, Stayadoodle Technologies Inc. and its directors, officers, employees, contractors, representatives, affiliates, successors, and licensors are not responsible for Member acts or omissions or losses arising from a Care Arrangement.

This includes claims relating to:

  • Dog behaviour

  • Injury, illness, escape, disappearance, theft, or death of an animal

  • Personal injury or death

  • Property damage or loss

  • Theft or unauthorized access

  • Veterinary costs

  • Emotional distress

  • Lost income, profit, savings, opportunity, or data

  • Cancelled, delayed, incomplete, or unsatisfactory Bookings

  • Member information, reviews, statements, or omissions

  • Third-party services

  • Events outside Stayadoodle’s reasonable control

To the fullest extent permitted by law, Stayadoodle is not liable for indirect, incidental, special, exemplary, punitive, or consequential damages.

Where Stayadoodle is found directly liable despite these limitations, Stayadoodle’s total aggregate liability will not exceed:

  • Membership fees paid directly to Stayadoodle during the 12 months preceding the event giving rise to the claim; or

  • CAD $100 if no Membership fees were paid

This limitation applies regardless of the legal theory asserted, including ordinary negligence, to the extent permitted by law.

It does not apply to liability that cannot legally be excluded or limited, including where applicable fraud, wilful misconduct, or other non-excludable conduct by Stayadoodle.

44. Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless Stayadoodle Technologies Inc. and its directors, officers, employees, contractors, representatives, affiliates, and successors from third-party claims, losses, liabilities, judgments, penalties, damages, and reasonable legal expenses arising from:

  • Your breach of these Terms

  • Your User Content

  • Your false or misleading information

  • Your acts or omissions

  • Your dog’s conduct

  • Your home, household, property, or guests

  • Your Care Arrangement

  • Your violation of applicable law

  • Your violation of another person’s rights

  • Property damage, injury, illness, or loss caused by you or your dog

You are not required to indemnify Stayadoodle to the extent a claim results from Stayadoodle’s fraud, wilful misconduct, or liability that cannot legally be shifted to you.

45. Complaints and Disputes With Stayadoodle

Before beginning a legal proceeding against Stayadoodle, you agree to send a written description of the dispute to:

You agree to allow at least 30 days for a good-faith attempt to resolve it unless:

  • Urgent relief is reasonably necessary

  • A limitation period may expire

  • Applicable law permits immediate action

  • The matter concerns urgent safety, privacy, or intellectual-property protection

This process does not prevent you from contacting a regulator or exercising a non-waivable consumer right.

These Terms do not require mandatory private arbitration and do not waive a legally protected right to bring a claim.

46. Governing Law and Courts

These Terms and your relationship with Stayadoodle are governed by the laws of Ontario and the federal laws of Canada applicable in Ontario.

Subject to non-waivable consumer protections, the courts located in Ontario have jurisdiction over disputes involving Stayadoodle.

Nothing prevents a consumer from relying on mandatory legal or forum protections applicable in the consumer’s province or territory.

47. Changes to These Terms

Stayadoodle may update these Terms to reflect:

  • Platform changes

  • New features

  • Legal requirements

  • Safety or security needs

  • Membership changes

  • Payment changes

  • Care Credit changes

  • Clarifications or corrections

Updated Terms will display a revised date and version.

Stayadoodle will provide reasonable notice of material changes where required or reasonably practicable.

We may require affirmative acceptance before continued access to affected features.

Changes apply prospectively unless applicable law permits otherwise.

If you do not agree to updated Terms, you must stop using the Platform and may cancel your Membership.

48. Future Features

Stayadoodle may introduce features such as:

  • Gifts or gratuities

  • Gift cards

  • Additional Membership plans

  • Insurance or protection programs

  • Premium verification

  • New Care Credit opportunities

  • Additional dog-care formats

  • Referral programs

  • Third-party partnerships

Additional terms may apply.

Reference to a future feature does not promise that the feature will be released.

49. Force Majeure

Stayadoodle is not responsible for a delay or failure caused by events beyond its reasonable control, including:

  • Natural disasters

  • Severe weather

  • Fire or flood

  • Public-health emergencies

  • War, terrorism, or civil unrest

  • Government action

  • Labour interruption

  • Power, banking, internet, telecommunications, payment, cloud, or app-store failure

  • Cyberattack despite reasonable safeguards

  • Failure of an external provider

This does not excuse obligations that applicable law does not permit Stayadoodle to avoid.

50. General Terms

50.1 Entire Agreement

These Terms, the Privacy Policy, the Community Guidelines, and additional feature-specific terms constitute the agreement between you and Stayadoodle.

50.2 Order of Priority

Where documents conflict:

  1. Feature-specific terms apply to the relevant feature.

  2. These Terms apply generally.

  3. The Privacy Policy governs privacy matters.

  4. Community Guidelines govern community conduct.

50.3 Severability

If a provision is found invalid or unenforceable, it will be limited or interpreted to the minimum extent necessary. The remaining provisions will continue in effect.

50.4 No Waiver

Failure to enforce a provision does not waive the right to enforce it later.

50.5 Assignment

You may not assign your Account or rights without written consent.

Stayadoodle may assign these Terms in connection with financing, reorganization, merger, acquisition, sale of assets, or transfer of the Platform, subject to applicable law.

50.6 No General Third-Party Beneficiaries

Except for Apple and its subsidiaries under Section 34, these Terms do not create rights for a person who is not a party to them.

50.7 Headings

Headings are provided for convenience and do not alter interpretation.

50.8 Language

The parties have requested that these Terms and related documents be prepared in English. Where required by applicable law, another language version may be provided.
